The Corporate Development team at Schwab is a part of the Corporate Development & Strategy function in the Chief Innovation and Strategy enterprise. The team supports the inorganic growth strategy of the firm by analyzing and executing acquisitions, divestitures, and strategic investments.
In recent years, the Corporate Development team has been very active and successfully completed numerous transactions, including the acquisition of the assets of USAA’s Investment Management Company, the all-stock acquisition of TD Ameritrade and the recently announced acquisition of Forge Capital. These transactions created a large-scale, full-service investment firm with world-class solutions and unlocked meaningful financial benefits for our stockholders. We expect to continue to remain active in the evaluation and execution of transactions going forward.
As a key member of the Corporate Development team, the Corporate Development Director will help evaluate acquisition, divestiture, and strategic investment opportunities, coordinate due diligence processes, assist in negotiations, and participate in the overall execution of transactions.
Key Outcomes:
- Conduct deep financial analysis to inform deal viability, including structuring, valuation, risk allocation, and long-term synergy capture.
- Lead valuation modeling, analyze deal structures and interpret financial impacts to shape recommendations to the CEO, Executive Council and Board.
- Prepare and/or oversee the preparation of presentations which outline the strategic and financial rationale for transactions for senior management and the Board of Directors
- Lead cross functional diligence teams with dozens of stakeholders across finance, tech, legal, HR, operations, and external advisors.
- Shape and communicate deal frameworks to leadership, ensuring decision makers can properly evaluate tradeoffs and strategic outcomes.
- Coordinate communications among project teams, senior Schwab management, external advisors, and counterparties.
- Negotiate NDAs and other transaction related agreements with counterparties.
- Work with business enterprises, functional areas (e.g., Legal, Technology, Operations, Intellectual Property, Human Resources, etc.) and other areas of Finance on the analysis and execution of acquisitions, divestitures, and strategic investments.
- Interface and partner with senior leaders to ascertain strategic goals of various business enterprises
- Conduct strategic industry analysis and landscape studies
- Contribute to the ongoing improvement of the team by refining existing processes and assisting in the training and development of new team members
What you have
Required Qualifications
- Bachelor's degree in related field or equivalent work experience.
- 7 plus years of work experience at a top-tier company in investment banking or corporate development (M&A). Will also consider experience in management/strategy consulting, strategic finance, or valuation servicesDemonstrated experience preparing financial analysis of mergers and acquisitions, divestitures, and strategic investments
- Prior experience with M&A transactions at a similar level of scale and complexity.
- Engaging directly with senior executive leadership.
- Experience negotiating NDAs and other transaction related agreements
Preferred Qualifications
- Superior analytical skills, creativity in problem solving, research capabilities, and attention to detail
- Advanced valuation and scenario modeling expertise.
- Strong communication skills, both written and verbal, as well as the ability to develop concise and effective communications tailored to specific audiences
- Integration planning leadership for large-scale transactions.
- Comfort working on a cross-functional team in a dynamic, fast-moving, and high-stakes work environment
- While prior experience in the financial services industry is not required, we prefer candidates to have an interest in working in the financial services sector
Employees will have the flexibility for a hybrid schedule following our workplace flexibility program and will be expected to be in the office 4 days a week.
